Terms and Conditions of Service
GOURMET LINGUAL

These Terms and Conditions of Service (the “Terms”) govern your purchase and use of the Services (as defined below) provided by G lingual (“we,” “us,” or “our”) to a recipient of the Services (the “Client”, “you” or “your”). By accepting an Offer (as defined below), you agree to these Terms.
1) Definitions
- “Services” means our decision-support services related to travel in Japan, including research, comparisons, context and perspective, itinerary refinement, and guidance within an agreed scope.
- “Engagement” means the individual contract between you and us for the Services, as described in the Offer you accept.
- “Offer” means a written offer we provide for an Engagement including the scope and duration of the Services, fees, service hours, and the Trip Start Date. We will issue an Offer in writing based on your inquiry, questionnaire and any other communication before the Engagement.
- “Trip Start Date” means the date your travel in Japan is scheduled to begin, as stated in the Offer.
2) Nature of the Services (Decision Support)
- The Services are designed for independent travelers who wish to involve us in their travel-related decisions in Japan. We provide context, perspective, comparisons, and guidance to assist you in making such decisions.
- We do not promise specific outcomes, availability, or results. You remain responsible for your final choices and any actions taken based on your decisions.
3) Scope of the Services; Limited Reservation Assistance
- We may provide research, comparisons, and guidance regarding transportation (including flights and trains) and hotels so that you can choose and book directly. This may include explaining typical processes in Japan and clarifying trade-offs.
- For other elements (such as restaurants or experiences), we may, where legally permissible and appropriate, provide limited direct reservation assistance if it supports the overall direction of your trip. Whether we provide such assistance or not is at our discretion and depends on feasibility, legality, and consistency with the Engagement scope.
- We are not responsible for decisions, performance, cancellations, changes, or acts or omissions of third-party providers.
- We do not provide any services that require registrations or licenses under applicable laws, including booking or purchasing flights, trains, or hotels, or processing payments on your behalf. All such bookings and payments shall be made directly by you.
4) Language of the Services
The Services are available only in English or Japanese. We do not provide the Services in any other languages.
5) Communications; Client Responsibilities (Devices and Internet)
- We generally communicate with you via email, messaging platforms (e.g., WhatsApp, Google Chat, LINE), and/or video calls as agreed. You are responsible for securing and maintaining your own internet access, devices, software, applications, and accounts necessary to use the Services.
- You are also responsible for maintaining internet connectivity while traveling in Japan. We are not liable for delays or inability to provide the Services caused by connectivity, device failure, or third-party platform issues.
6) Offer, Acceptance, Engagement and Payment (Credit Card)
- The fees set forth in the Offer are determined based on scope, duration, complexity, and level of support.
- Unless we expressly agree otherwise in writing, the minimum duration of the Services after the Trip Start Date, as set forth in the Offer, is three (3) days.
- An Engagement is formed when (i) you accept the Offer in writing (including electronically) and (ii) we confirm receipt of payment in full, unless we expressly agree otherwise in writing.
- Payment shall be made by credit card through the method designated by us.
7) Commencement of Services; Service Hours
- Within approximately seven (7) days after an Engagement is formed, we will confirm any additional trip details as needed and begin providing decision-support materials and guidance in line with the agreed scope.
- The Services are provided within the service hours set forth in the Offer. We do not provide 24/7 monitoring or crisis management.
8) No Cancellation; Rescheduling
- No cancellations. Once the Engagement is formed, any changes or cancellations are not permitted, and no refund will be provided, unless we, at our sole discretion, agree otherwise in writing.
- Rescheduling. If, after the Engagement, you need to change the Trip Start Date, you may reschedule it one time if all of the following conditions are met:
(a) The rescheduled date is no later than one-hundred and eighty (180) days from the Trip Start Date;
(b) The request is made as soon as practicable, but no later than seven (7) days before the Trip Start Date; and
(c) We, at our sole discretion, agree to the rescheduled date.
9) Intellectual Property; Permitted Use
- All copyrights in the deliverables provided to you (e.g., written guidance, documents, templates) are owned by us.
- We grant you a limited, non-transferable license to use such deliverables solely for your personal trip planning. You may not reproduce, publish, redistribute, or resell our materials without our prior written consent.
10) Confidentiality
We will treat your nonpublic trip information as confidential and use it solely for the purpose of providing the Services, except as required by law or as necessary for payment processing and the essential operations of the Services.
11) Disclaimers
- We do not guarantee the availability of any restaurant, hotel, ticket, seat, experience, reservation, or other item introduced or recommended in the course of the Services. Any examples or recommendations are provided for informational purposes only and may not be available at the time of actual booking or use by you.
- We do not provide legal, tax, medical, or immigration advice in connection with the Services.
12) Limitation of Liability
- To the fullest extent permitted by applicable laws, we will not be liable for indirect, incidental, special, consequential, or punitive damages.
- Except in the case of willful misconduct or gross negligence, our aggregate liability arising out of or related to the Services will not exceed the total fees paid by you to us for the applicable Engagement.
13) Force Majeure
We shall not be responsible for any delay or failure to perform arising out of events beyond our reasonable control, including natural disasters, government actions, transportation disruptions, strikes, outages, or platform failures.
14) Privacy
Our processing of personal information is governed by our separate Privacy Policy and applicable laws, including Japanese Act on the Protection of Personal Information.
15) Changes to These Terms
We may, at any time, update these Terms. Any such updates become effective when posted on our website (or on a later date we specify).
16) Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict-of-law provisions. Any dispute or claim arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court in Japan.
